Specific terms governing client engagements — including scope, deliverables, payment, confidentiality, and IP ownership — are set out in individual Statements of Work (SOWs) and Master Service Agreements (MSAs) executed between ZDS and the client.
In the event of conflict between these Terms and a signed MSA/SOW, the MSA/SOW prevails for that engagement.
Any non-public information shared with ZDS during a sales process, proposal, or engagement — including business data, strategies, and system access — will be treated as confidential and used solely for the purpose for which it was shared.
We expect the same in return: ZDS's proposals, pricing, and methodologies shared with prospective clients are confidential and should not be shared with third parties without our written consent.

For disputes arising from client engagements, the governing law and dispute resolution mechanism specified in the applicable MSA shall apply. Where no MSA exists, parties agree to first attempt resolution through good-faith negotiation before initiating legal proceedings.
